Thompson & Knight LLP
Thompson & Knight's tax attorneys provide comprehensive federal, state, and local tax planning and compliance advice to individuals and all types of business entities and organizations. We also represent clients in tax audits, administrative appeals and proceedings, and in tax litigation in both federal and state courts. We are proud that The Best Lawyers in America® 2010 has selected 11 Thompson & Knight attorneys in our Practice Group.
Our attorneys provide creative tax advice in corporate and general business matters, including business formation, reorganization and dissolution, and partnership and limited liability company structuring. Internationally, we regularly represent clients who are expanding into new territories, and have accordingly developed a sophisticated cross-border M&A practice that includes advice concerning transnational joint ventures and a wide variety of construction projects. As a result of our long history representing participants in the petroleum industry, we have a national reputation in the taxation of natural resources, partnerships, international joint ventures, and other transactions common in the petroleum industry.
Working with the Firm's labor and corporate attorneys, we advise clients on all of their employee benefits, labor and employment, and executive compensation concerns. While we regularly counsel individuals on these issues, our main focus is on employers: large and small, closely held, and public companies engaged in a variety of pursuits, including oil and gas, banking, steel, cement, hotel and hospitality services, distribution, retail, manufacturing, and charitable and other tax-exempt activities.
Thompson & Knight attorneys advise both for-profit and nonprofit entities on the formation, qualification, operation, restructuring, and governance of tax-exempt organizations. Our clients include private foundations, publicly supported charities, public and private schools, art and cultural groups, religious institutions, professional societies, employee and trade associations, social clubs, universities, hospitals, and title-holding corporations. Sophisticated charitable gift planning is an important adjunct of our practice in this area, which is among the largest in the southwestern United States.
The Firm's estate planning practice also is among the largest in the southwestern U.S. Our trusted family relationships go back as far as 70 years, and it is not uncommon for our attorneys to work with two, three, or even four generations of a family over the course of decades. We counsel on the most sensitive personal family tax issues, from those involving marital disputes and succession planning to executive compensation and retirement plans. Our attorneys have helped our clients to transfer millions - or in some cases, hundreds of millions - of dollars to their families without undue tax cost.
Thompson & Knight attorneys have a long history of advising and representing our clients in adversarial matters with federal, state, and local taxing authorities, as well as in alternative dispute resolution procedures. Although most tax controversies are settled without litigation, we have extensive trial experience in tax cases involving all types of taxes and for all types of clients, including cases involving major petroleum industry issues and precedent setting estate tax valuation, partnership taxation, international transfer pricing, and foreign tax credit issues.
